When you use our Materials (including the NeuroPawn Biopotential Kit and associated software), certain categories of data are generated. These are handled with a local-first approach to maximize your privacy.
User data: You maintain full ownership of all data you collect or generate using the Materials, including biometric data, sensor readings, and any analytics derived from your direct input (“User Data”). NeuroPawn does not have ownership of your User Data. This data is primarily stored locally on your device, under your control.
Application analytics data (“App data”): To enhance our Software, we may collect anonymized and aggregated analytics data about how the application is used. App Data can include performance metrics, device specifications, and feature usage patterns. This data is distinct from your User Data and never contains personally identifiable or biometric information. You have the option to disable the collection of App Data in the software’s settings without impacting core functionality.

To provide and enhance product functionality
Our services are architected to protect your privacy by managing how and where your data is processed:
- Local processing priority: The NeuroPawn software is designed to prioritize the processing of your User Data locally on your device. This method gives you maximum control over your information and reduces the need for data transmission.
- Cloud-assisted processing: For features requiring greater computational power, we may use cloud-based resources. This process is temporary and designed with privacy as a priority. Any cloud processing occurs in a “stateless manner,” which means your User Data is not permanently stored on our servers and is not retained after the processing is complete. The software will provide a clear indication when a feature relies on cloud processing.
In short: We only process your personal information when we believe it’s necessary and we have a valid legal reason (i.e., legal basis) to do so under applicable law, like with your consent, to comply with laws, to provide you with services to enter into or fulfill our contractual obligations, to protect your rights, or to fulfill our legitimate business interests.

- Payment processing: We use Stripe Inc. as our payment processor to handle credit card transactions and other payment methods. We do not store your complete payment card details on our servers.
- Business transfers. We may share or transfer your information in connection with, or during negotiations of, any merger, sale of company assets, financing, or acquisition of all or a portion of our business to another company.
- Affiliates. We may share your information with our affiliates, in which case we’ll require those affiliates to honor this Privacy Notice.
- When you publicly post to other users. When you provide personal information or otherwise interact with public areas of the Services, such personal information may be viewed by all users and may be publicly made available outside the Services in perpetuity.
- With your consent. We may disclose your personal information for any other purpose with your consent.

While we may use AI internally for operational efficiency (e.g., in customer support tools or data analysis), we don’t offer AI-based products or features that rely on processing your personal information for AI model training, inference, or generating outputs that directly impact you, without providing clear notice and obtaining consent where required by law.

Important: You acknowledge and agree that you are solely responsible for implementing appropriate security measures to protect any User Data stored locally on a device you own, control, or use to access our Services (such as your computer, mobile device, or NeuroPawn-compatible hardware). This includes, but is not limited to, device security, access controls, data encryption, and data backup.

11. Controls for Do-Not-Track features
Most web browsers and some mobile operating systems and mobile applications include a Do-Not-Track (“DNT”) feature or setting you can activate to signal your privacy preference not to have data about your online browsing activities monitored and collected. At this stage, no uniform technology standard for recognizing and implementing DNT signals has been finalized. As such, we don’t currently respond to DNT browser signals or any other mechanism that automatically communicates your choice not to be tracked online. If a standard for online tracking is adopted that we must follow in the future, we’ll inform you about that practice in a revised version of this Privacy Notice.
12. Do United States residents have specific privacy rights?
In short: If you are a resident of California, Virginia, Colorado, Utah, or Connecticut, you are granted specific rights regarding access to your personal information.

If you choose to submit user-generated content (e.g., reviews, comments, or media) in our public Community Spaces, that content may be visible to other users and publicly indexed. Please review the following comprehensive terms and conditions set forth in this General Terms of Service (the “Agreement”). This Agreement governs your access to and use of NeuroPawn Biotechnologies Inc.’s (“NeuroPawn,” “we,” “us,” or “our”) website (“Site”), applications, software development kit (SDK), related software, hardware, and services (collectively, the “Offerings”). “You” or “your” means the individual accepting the terms of this Agreement or the company or other legal entity for which such an individual is accepting the terms of this Agreement.
If you are agreeing to be bound by this Agreement on behalf of a company or other legal entity, for example, your employer, you represent and warrant that you have full legal authority to bind that company or other legal entity to this Agreement. If you do not have that authority, you may not accept this Agreement on behalf of that company or other legal entity, and any purported acceptance will be void.
The Offerings include:
- The Site: Our website, including all content, features, and functionality available through it.
- The Materials: NeuroPawn’s applications, SDK, and related software (collectively, the “Software”), the NeuroPawn Biopotential Kit and compatible third-party physical components, including but not limited to computing platforms, communication devices, sensors, and related equipment (collectively, the “Hardware”), and any other NeuroPawn products and services, excluding any cloud-based services unless expressly stated.
Your access to and use of any part of the Offerings are conditioned on your acceptance of this Agreement. By accessing or using any of the Offerings, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions in this Agreement. If you do not agree with the terms and conditions of this Agreement, you may not access or use the Offerings.
NeuroPawn reserves the right to update or modify this Agreement at any time in its sole discretion. We will provide notice of such changes by posting the updated Agreement on our Site or through other reasonable means. The “Last updated” date at the end of this Agreement will indicate when the latest changes were made. Your continued use of the Offerings following the posting of any updated Agreement constitutes your acceptance of and agreement to be bound by the Agreement as changed. If you do not agree to the updated Agreement, you must stop using the Offerings.
By using the Offerings, you represent and warrant that you are of the age of majority in your jurisdiction. If you are not of the age of majority in your jurisdiction, you must only use the Offerings under the direct supervision of your parent or legal guardian who has reviewed, understood, and accepted this Agreement. If you are a parent or legal guardian agreeing to this Agreement on behalf of a minor, you agree to monitor and supervise the minor’s use of the Offerings and fully accept responsibility for the minor’s use, including all financial charges and legal liability that may be incurred.

2. Privacy policy
Protecting your privacy is important to NeuroPawn. NeuroPawn’s Privacy Policy describes NeuroPawn’s collection, use, disclosure, and protection of data and information, including personal information, in connection with your use of the Offerings. 3. License grant
3.1 General license grant
Subject to your full compliance with all terms and conditions of this Agreement, NeuroPawn grants you a limited, non-exclusive, non-sublicensable, non-transferable, and revocable license to access and use the Offerings solely for their intended purpose and strictly in accordance with the terms set forth herein.
3.2 Permitted use
You may use the Offerings only:
- For lawful purposes and in compliance with all applicable local, national, and international laws, regulations, and governmental orders.
- In the manner expressly authorized by NeuroPawn.
- Within the scope of your authorized access level or subscription, if applicable.
- In accordance with any and all technical specifications, user manuals, usage guidelines, or documentation provided by NeuroPawn.
- For Materials: Solely for their intended informational, research, and general wellness purposes.
- For the Site: For legitimate personal or internal business purposes, including browsing product information, making purchases, accessing your account, downloading authorized materials, and participating in community features.
- Non-commercial use (unless authorized): Unless expressly authorized by NeuroPawn in writing, your use of the Offerings is for your personal or internal business use and not for direct commercial exploitation (e.g., reselling access to the Site or Materials).
3.3 License restrictions
The license granted in Section 3.1 is subject to the restrictions set forth in Section 4.2 (Prohibited activities). Any use of the Offerings not expressly permitted by this Agreement is prohibited.
3.4 License termination
This license may be terminated by NeuroPawn immediately, without prior notice or liability, if you breach any provision of this Agreement, including but not limited to any payment obligations, violation of the Prohibited activities (Section 4.2), or any misuse of the Offerings. Upon termination of this license for any reason, you must immediately:
- Cease all use of the Offerings.
- Destroy or permanently delete any and all copies of the Software, documentation, or other Materials in your possession or control (if applicable).
- Comply with any NeuroPawn instructions regarding the return or certified destruction of Hardware, if applicable.
4. Ownership and proprietary rights
4.1 Ownership
Except for the limited license expressly granted in Section 3, NeuroPawn and its licensors retain all right, title, and interest in and to the Offerings and all associated intellectual property rights worldwide. This includes, without limitation, all copyrights, trademarks, service marks, trade names, patents, patent applications, trade secrets, know-how, moral rights, and any other proprietary rights, whether registered or unregistered, and all derivative works thereof. The Offerings are protected by applicable intellectual property laws, including but not limited to copyright, trademark, patent, and trade secret laws of Canada and international treaties.
4.2 Prohibited activities
You may not, and may not permit any third party to, directly or indirectly:
- Reverse engineer, decompile, disassemble, modify, adapt, reproduce, duplicate, copy, or create derivative works from the Offerings, in whole or in part, except as expressly permitted by applicable law (and then only with prior written notice to NeuroPawn).
- Distribute, sublicense, lease, lend, rent, sell, resell, transfer, assign, host, or otherwise commercially exploit the Offerings or make them available to any third party, whether over a network or otherwise, without NeuroPawn’s express prior written consent.
- Publicly perform or display the Offerings without authorization.
- Engage in any unauthorized or unintended use of the Offerings, including any use that is competitive with NeuroPawn’s business.
- Circumvent, bypass, disable, or tamper with any security measures, protocols, software protections, digital rights management (DRM), or encryption technologies associated with the Offerings.
- Make the Materials available to yourself or any third party in a manner that involves reverse engineering, exploitation, disclosure, or unauthorized access to any encrypted or protected content.
- Remove, alter, or obscure any proprietary notices, labels, or markings (including copyright and trademark notices) on the Offerings.
- Use the Offerings in any manner that could damage, disable, overburden, impair, or interfere with NeuroPawn’s infrastructure, servers, networks, or other users’ access or use of the Offerings.
- Use the Offerings for any purpose that is unlawful, fraudulent, harmful, abusive, harassing, defamatory, vulgar, obscene, or otherwise violates this Agreement or the rights of any third party.
- Interfere with or disrupt any other party’s use and enjoyment of the Offerings.
- Obtain or attempt to obtain any data, materials, or information from the Offerings through any means not intentionally made available or provided for by NeuroPawn.
- Access or attempt to access another user’s data or account without proper authorization.
- Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful to the Offerings.
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Offerings, the server on which the Offerings are stored, or any server, computer, or database connected to the Offerings.
- Scrape, crawl, or use any automated means (e.g., robots, spiders, data mining) to access, query, or otherwise collect information from the Site without NeuroPawn’s express prior written consent.
4.3 Feedback and improvements
If you provide NeuroPawn with any suggestions, ideas, enhancement requests, feedback, recommendations, or other information regarding the Offerings (“Feedback”), you hereby grant NeuroPawn a worldwide, perpetual, irrevocable, royalty-free, fully paid-up, transferable, and sublicensable license to use, reproduce, modify, adapt, create derivative works from, distribute, perform, display, and otherwise exploit such Feedback for any purpose, without any obligation or compensation to you.
4.4 Reservation of rights
All rights not expressly granted to you in this Agreement are reserved by NeuroPawn. No additional license is granted by implication, estoppel, or otherwise. Any use of the Offerings beyond the scope of the license granted herein is strictly prohibited and may result in immediate termination of your access, potential legal action, and liability for damages.
5. User data ownership and responsibility
5.1 Your data ownership
You retain complete ownership of all data collected, generated, or processed by you using the Materials, including but not limited to biometric data, sensor readings, and any derived analytics specifically attributed to you or generated from your direct input (“User Data”). NeuroPawn claims no ownership interest in your User Data and acknowledges your exclusive rights thereto, subject to the licenses you grant herein (e.g., for cloud-assisted processing).
5.2 Local data storage and your responsibility
NeuroPawn primarily designs its Software for local storage and processing of your User Data on your device. While NeuroPawn aims to minimize reliance on server-side storage of User Data, you acknowledge that NeuroPawn does not store, retain, or maintain permanent copies of your raw User Data on NeuroPawn servers or cloud infrastructure, except as explicitly outlined for temporary cloud-assisted processing (Section 7.2) or consented-to analytics (Section 5.5). All User Data primarily remains stored locally on your device and under your complete control. You are solely responsible for the backup, security, management, and appropriate use of your User Data, including compliance with all applicable data protection laws.
5.3 Temporary processing and data flow
NeuroPawn may temporarily access and process your User Data solely to provide real-time functionality, such as live data visualization, immediate computational analysis, or feature enhancement. Such processing occurs only during active use sessions and is designed not to result in permanent storage or retention of your User Data beyond the immediate processing session. NeuroPawn employs industry-standard security measures for data in transit during such temporary processing.
5.4 Data security responsibility
You acknowledge and agree that you are entirely responsible for implementing appropriate security measures to protect your User Data on your device, including but not limited to device security, access controls, strong authentication, and data encryption. NeuroPawn provides no warranties or guarantees regarding the security of locally stored User Data on your device or any third-party systems you use.
5.5 Application analytics data
Separate from User Data, NeuroPawn may collect anonymized and aggregated application usage analytics data (“App Data”) to improve the Software’s performance, functionality, and user experience. App Data includes information such as feature usage patterns, error logs, performance metrics, device specifications, and general usage statistics. App Data does not include your User Data, any personally identifiable information, or any biometric information. Collection of App Data is enabled by default. You may opt out of App Data collection through the Software’s settings at any time without affecting the core functionality of the Software. NeuroPawn will process App Data in accordance with its Privacy Policy.

6. Third-party integrations and services
6.1 Third-party connections
The Software may provide functionality that enables you to connect to, integrate with, or share data with third-party applications, platforms, or services (“Third-Party Services”). Such integrations are provided for your convenience and are entirely optional. Examples include, but are not limited to, health platforms, cloud storage providers, or other analytical tools.
6.2 Third-party data sharing and your risk
Any decision to connect to Third-Party Services or share your User Data with such services is made entirely at your discretion and risk. You acknowledge and agree that:
- NeuroPawn does not control, endorse, or assume responsibility for the content, privacy practices, terms of service, or security of Third-Party Services.
- Your interaction with and data sharing with Third-Party Services are governed solely by the terms of service and privacy policies of those respective services.
- You are solely responsible for reviewing the data handling practices of any Third-Party Service before connecting or sharing your User Data with them.
- NeuroPawn is not responsible for any issues, damages, losses, or liabilities arising from your use of or reliance on Third-Party Services, including but not limited to data breaches, loss of data, or any unauthorized access to your User Data by such services.
6.3 Disclaimers regarding third-party services
NeuroPawn makes no representations or warranties of any kind, express or implied, regarding Third-Party Services. NeuroPawn expressly disclaims all liability for any issues, damages, or losses arising from your use of or interaction with Third-Party Services.
7. Data processing architecture
7.1 Local processing priority
The NeuroPawn Software is designed to prioritize local processing of your User Data on your device. This design minimizes data transmission requirements and maximizes your control over your information while providing sophisticated analytical capabilities.
7.2 Cloud-assisted processing
When enhanced computational capabilities are required, or specific features necessitate it, NeuroPawn may provide access to cloud-based computational resources or algorithms. Such cloud processing is designed with privacy-preserving principles and operates under the following constraints:
- Data transmission is minimized to only what is necessary for the requested computation.
- Processing occurs in a stateless manner without permanent data storage on NeuroPawn’s cloud infrastructure.
- Cloud resources do not retain copies of your User Data after processing completion, meaning data is processed “in-flight” and not persisted.
- All cloud processing adheres to industry-standard security protocols and encryption for data in transit and at rest during the processing window.
7.3 Processing transparency and control
NeuroPawn will provide clear indication within the Software when cloud-based processing is being utilized, allowing you to make informed decisions about your data processing preferences. You may be able to configure your Software settings to limit or disable certain cloud-assisted processing features if desired, though this may impact the functionality of certain features.
8. Third-party data responsibilities
If you use the Materials to collect, process, or transmit data relating to third parties other than yourself—including, but not limited to, employees, research participants, study subjects, patients, or other individuals (“Third-Party Data”)—you represent and warrant that you have obtained all necessary rights, consents, permissions, and authorizations required by applicable law, including but not limited to privacy and data protection laws, to collect, process, and share such Third-Party Data through the Materials.
You are solely responsible for:
- Ensuring full compliance with all applicable data protection, privacy, and related laws and regulations (e.g., GDPR, HIPAA, CCPA, PIPEDA), including, where applicable, obtaining explicit and informed consent from all data subjects.
- Providing appropriate privacy notices and disclosures to all data subjects regarding the collection, processing, and sharing of their Third-Party Data via the Materials.
- Maintaining adequate security measures for Third-Party Data under your control.
- Responding to data subject requests (e.g., access, rectification, erasure, restriction of processing) and facilitating the exercise of data subject rights as required by law.
- Complying with any data breach notification requirements related to Third-Party Data under your control.
You agree to indemnify, defend, and hold harmless NeuroPawn and its affiliates, officers, directors, employees, and agents from and against any and all claims, demands, actions, suits, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from or in connection with your collection, processing, use, storage, or transmission of Third-Party Data through the Materials, or any breach of your obligations under this Section 8.
9. Community spaces and conduct
NeuroPawn operates and maintains various community platforms and spaces, including but not limited to discussion forums, product review sections, and official social media channels (collectively, “Community Spaces”). Your participation in these Community Spaces is subject to this Agreement and any additional terms set forth in our Community Code of Conduct. By participating in Community Spaces, you agree to abide by both this Agreement and the Community Code of Conduct.
9.2 Content responsibility
All content posted by you in Community Spaces, including messages, comments, reviews, opinions, advice, files, images, and other information (“User Content”), is the sole responsibility of the individual author. Such User Content does not reflect the views, opinions, or positions of NeuroPawn, and NeuroPawn does not endorse, verify, or guarantee the accuracy, completeness, or usefulness of any User Content. You are solely responsible for your User Content and the consequences of posting or publishing it.
9.3 License to user content
By posting, uploading, or submitting any User Content to Community Spaces, you grant NeuroPawn a worldwide, non-exclusive, royalty-free, fully paid-up, perpetual, irrevocable, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in any media formats and through any media channels now known or hereafter developed, for any purpose, without compensation to you. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to grant this license. Please be aware that User Content you post may be publicly visible. Our handling of any personal information within such content is described in our Privacy Policy.
9.4 Moderation rights
NeuroPawn reserves the right, but not the obligation, to monitor, review, modify, or remove any User Content from Community Spaces at any time and without prior notice, at our sole discretion. We may take such action for any reason, including but not limited to violation of our Community Code of Conduct, this Agreement, or applicable law, or if we deem the content to be harmful, offensive, or inappropriate.
9.5 User indemnification
You agree to indemnify, defend, and hold harmless NeuroPawn, its affiliates, licensors, and their respective officers, directors, employees, and agents from and against any and all claims, demands, actions, suits, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees and costs of investigation) arising from:
- Any User Content you post, upload, or submit in Community Spaces.
- Your participation in or use of Community Spaces.
- Your breach of the Community Code of Conduct or this Agreement.
- Your violation of any applicable law or the rights of any third party in connection with your User Content or Community Space activities.
10. Electronic communications
10.1 Consent to electronic communications
You consent to receive all communications from NeuroPawn in electronic form. We may communicate with you by email, through in-app notifications (if applicable), or by posting notices on the Site.
10.2 Electronic records
You agree that all agreements, notices, disclosures, and other communications that NeuroPawn provides to you electronically satisfy any legal requirement that such communications be in writing. You should maintain copies of electronic communications from us for your records.
10.3 Communication preferences
You may update your communication preferences through your account settings (if applicable) or by following unsubscribe instructions in emails, though certain essential communications related to your account, security, legal notices, and service updates cannot be disabled.
11. Termination
11.1 Termination by you
You may terminate this Agreement at any time, for any reason or no reason, by discontinuing all use of the Offerings and deleting all copies of the Software in your possession or control (if applicable).
11.2 Termination by NeuroPawn
NeuroPawn may, at its sole discretion and for any reason or no reason, immediately terminate this Agreement, your user account (if applicable), and/or your access to any part of the Offerings. Such termination may occur without prior notice or liability to you or any third party. Reasons for termination by NeuroPawn may include, but are not limited to:
- Breach of any terms or conditions of this Agreement.
- Violation of any applicable laws or regulations.
- Conduct that NeuroPawn deems harmful to its business, reputation, or other users.
- Failure to pay any applicable fees.
- Discontinuation of any part of the Offerings or related services.
11.3 Effect of termination
Upon termination of this Agreement for any reason:
- All licenses granted to you under this Agreement will immediately terminate.
- You must immediately cease all use of the Offerings and delete all copies of the Software and related documentation in your possession or control (if applicable).
- NeuroPawn does not store your User Data (as defined in Section 5.2). Therefore, termination of your access or use of the Software will not affect your access to your own User Data stored locally on your device, which remains solely under your control and responsibility.
Sections 1 (Medical disclaimer), 4 (Ownership and proprietary rights), 5 (User data ownership and responsibility), 6 (Third-party integrations and services), 7 (Data processing architecture), 8 (Third-party data responsibilities), 9.2 (Content responsibility), 9.3 (License to user content), 9.4 (Moderation rights), 9.5 (User indemnification), 11.3 (Effect of termination), 12 (Disclaimers and limitation of liability), 13 (Indemnification), 14 (Governing law and jurisdiction), and 15 (Miscellaneous) (and any other provisions that by their nature should survive) will survive the termination of this Agreement.
12. Disclaimers and limitation of liability
12.1 Disclaimers
THE NEUROPAWN OFFERINGS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEUROPAWN, ON BEHALF OF ITSELF AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS, EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE OFFERINGS, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES THAT MAY ARISE OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE, OR TRADE PRACTICE.
WITHOUT LIMITATION TO THE FOREGOING, NEUROPAWN PROVIDES NO WARRANTY OR UNDERTAKING, AND MAKES NO REPRESENTATION OF ANY KIND THAT THE OFFERINGS WILL:
- MEET YOUR REQUIREMENTS OR EXPECTATIONS.
- ACHIEVE ANY INTENDED RESULTS.
- BE COMPATIBLE OR WORK WITH ANY OTHER SOFTWARE, APPLICATIONS, SYSTEMS, OR SERVICES.
- OPERATE WITHOUT INTERRUPTION, BE COMPLETELY SECURE, OR BE FREE OF ERRORS, BUGS, OR VIRUSES.
- BE ACCURATE, RELIABLE, OR COMPLETE.
- BE OF SATISFACTORY QUALITY.
- THAT ANY DEFECTS WILL BE CORRECTED.
YOUR USE OF THE OFFERINGS IS SOLELY AT YOUR OWN RISK. NEUROPAWN IS NOT RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE, LOSS OF DATA, OR OTHER DAMAGE THAT MAY RESULT FROM YOUR USE OF THE OFFERINGS.
12.2 Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEUROPAWN, ITS AFFILIATES, LICENSORS, OR SERVICE PROVIDERS, OR ITS OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR REPRESENTATIVES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- LOSS OF PROFITS.
- LOSS OF REVENUE.
- LOSS OF BUSINESS OPPORTUNITY.
- LOSS OF DATA OR USER DATA.
- BUSINESS INTERRUPTION.
- COST OF SUBSTITUTE GOODS OR SERVICES.
- PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS.
- DAMAGE TO HARDWARE OR OTHER EQUIPMENT.
- ANY OTHER PECUNIARY OR NON-PECUNIARY LOSS.
HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF FORESEEABLE AND EVEN IF NEUROPAWN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NEUROPAWN’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE OFFERINGS FOR ANY CLAIM, REGARDLESS OF THE FORM OF ACTION, SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO NEUROPAWN FOR THE RELEVANT OFFERINGS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, NEUROPAWN’S LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
13. Indemnification
You agree to indemnify, defend, and hold harmless NeuroPawn and its affiliates, licensors, and their respective officers, directors, employees, agents, and representatives from and against any and all claims, demands, actions, suits, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees and costs of investigation) arising out of or relating to:
- Your access to or use of the Offerings.
- Any User Content you submit or post on the Site.
- Your breach of this Agreement, including any representations or warranties made by you.
- Your violation of any applicable law or regulation.
- Your infringement or violation of the rights of any third party, including intellectual property rights or privacy rights.
- Your User Data, including any claims that your User Data violates any applicable law or third-party rights.
- Any activities conducted by a minor under your supervision if you are a parent or legal guardian.
NeuroPawn reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of NeuroPawn.
14. Governing law and jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any legal suit, action, or proceeding arising out of or related to this Agreement or the Offerings shall be instituted exclusively in the courts of the Province of Alberta, Canada, and you irrevocably submit to the exclusive personal jurisdiction of such courts in any such suit, action, or proceeding. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
15. Miscellaneous
15.1 Entire agreement
This Agreement, together with the Privacy Policy, EULA (if applicable), and Community Code of Conduct (all incorporated by reference), constitutes the entire and exclusive agreement between you and NeuroPawn regarding your use of the Offerings and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
15.2 Severability
If any provision of this Agreement is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Agreement will continue in full force and effect.
15.3 Waiver
No waiver by NeuroPawn of any term or condition set forth in this Agreement shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of NeuroPawn to assert a right or provision under this Agreement shall not constitute a waiver of such right or provision.
15.4 Assignment
You may not assign or transfer any of your rights or obligations under this Agreement without NeuroPawn’s prior written consent. NeuroPawn may assign or transfer this Agreement, in whole or in part, without restriction.
15.5 Headings
The headings in this Agreement are for convenience only and shall not affect its interpretation.
15.6 Force majeure
NeuroPawn shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, epidemics, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
15.7 Relationship of the parties
Nothing contained in this Agreement shall be construed as creating any agency, partnership, joint venture, or other form of joint enterprise, employment, or fiduciary relationship between the parties.

- If a package is returned to us due to an incorrect address, you will be responsible for the original shipping costs (non-refundable) and any re-shipping costs.
1.6 Damaged or lost shipments
- If your package arrives damaged, please document the damage (photos of the package and contents) and contact our customer service team through our contact form within 48 hours of delivery.
- If a package is confirmed lost by the carrier, please contact our customer service team to arrange for a replacement or refund. Investigations for lost packages may take up to 10–15 business days for domestic shipments and up to 30 business days for international shipments.
2. Domestic shipping (within Canada)

Orders shipped within Canada typically arrive within 3–7 business days after processing, depending on the destination.
2.2 Tracking
All domestic shipments include tracking. You will receive a tracking number via email once your order ships, allowing you to monitor its progress.

- Processing times: Customs clearance procedures can be unpredictable and may cause significant delays beyond our estimated delivery times.
- Package holds: Customs authorities may hold packages for inspection, additional documentation, or verification purposes.
- Local carrier fees: Some delivery services or postal services in your country may charge additional brokerage or handling fees for customs clearance.
3.4 Before you order (international)
We strongly recommend that you thoroughly research and understand your country’s import regulations, duty rates, and tax policies before placing an international order, especially for high-value items. Key information to research includes:
- Your country’s duty-free threshold (the minimum declared value before duties and taxes apply).
- Applicable duty rates for the specific type of products you are ordering (e.g., electronic components, medical devices, research equipment).
- Any required documentation or identification numbers for import (see Section 3.5 below).
- Prohibited or restricted items that cannot be imported into your country.

3.5 Required documentation & identification (international)
Certain countries require specific identification numbers or documentation for international shipments to facilitate customs clearance. It is your responsibility to provide these to the carrier or customs authority when requested. This list is illustrative and not exhaustive; requirements may change. Always verify current requirements with your local customs office or the relevant government agency.
- Brazil: CPF (Cadastro de Pessoas Físicas) or CNPJ for businesses.
- Chile: RUT (Rol Único Tributario).
- Ecuador: RUC or RISE number.
- India: PAN (Permanent Account Number) or Aadhaar number.
- Israel: ID number.
- Mexico: RFC (Registro Federal de Contribuyentes).
- Peru: DNI or RUC.
- South Africa: ID or passport number.
- South Korea: Personal customs clearance code (PCCC).
- Taiwan: ID number.
- Turkey: TC Kimlik No (Turkish Identification Number) for citizens.
- European Union (EU) / United Kingdom (UK): For some high-value shipments, an EORI (Economic Operators Registration and Identification) number may be required for businesses. For consumers, VAT may be collected at the point of sale (if NeuroPawn is registered) or upon import.
3.6 Our documentation (international)
NeuroPawn will provide the following standard documentation for international shipments:

- Customs declarations: As required by origin country regulations (e.g., CN22/CN23 forms).
- Tracking information: When available from the shipping carrier, allowing you to track your package’s journey.
4.1 Package refusal
If you refuse a package upon delivery due to unexpected duties, taxes, or other customs charges:
- No refund will be issued for the product’s value.
- You will be solely responsible for any return shipping costs incurred by NeuroPawn.
- NeuroPawn reserves the right to charge a restocking fee (e.g., 15% of the item’s value) to cover administrative and processing costs.
- The original shipping charges paid by you are non-refundable.
- If you wish to have the item re-shipped after its return, new shipping charges will apply.
4.2 Packages returned by customs
If customs authorities in your country return a package to us due to:
- Unpaid duties or taxes.
- Missing or incorrect required documentation/identification.
- Prohibited or restricted items.
- Any other reason related to customs compliance.
No refund will be issued for the product’s value. You will be responsible for:
- The original shipping costs (which are non-refundable).
- Return shipping costs charged by the carrier to send the package back to NeuroPawn.
- Any customs, handling fees, or penalties incurred by NeuroPawn due to the package’s return.
- Re-shipping costs if you choose to have the item sent again after resolving the customs issue (e.g., providing correct documentation, paying fees). A new shipping charge will apply.
4.3 Lost or seized packages in customs
NeuroPawn is not responsible for packages that are:
- Confiscated or seized by customs authorities due to the import of prohibited or restricted items. It is your responsibility to ensure the items you order are permissible for import into your country.
- Lost while in customs custody awaiting clearance or payment of duties/taxes. While we will assist by providing documentation, the responsibility for customs clearance and associated risks lies with the importer (you).
- Damaged during customs inspection or handling.
In such cases, no refunds will be issued by NeuroPawn. You may need to directly contact your local customs office or carrier to resolve the issue.

1. Order cancellation policy
1.1 Full refund for cancellations
You may cancel your order for a full refund within forty-eight (48) hours of placing your order, provided that the package has not yet been shipped.
1.2 How to cancel
To cancel an order, you must contact our customer service team through our contact form within the 48-hour window. Please include your order number and request for cancellation.
1.3 Cancellation after shipment
Once a package has been shipped from our facility, we are unable to process any cancellations or provide a refund for the product. Your order is considered shipped once you receive a shipping confirmation email with tracking information.
2. Replacement policy for defective or damaged products
2.1 Eligibility for replacement
We offer replacements only for products that are:
- Defective: The product does not function as intended or has a manufacturing fault upon arrival.
- Damaged in transit: The product arrives physically damaged due to shipping.
- Lost in transit: The product never arrives at the shipping address provided, as confirmed by the carrier’s tracking information.
No refunds are provided for defective, damaged, or lost products; only replacements.
2.2 Reporting a defective or damaged product
To be eligible for a replacement, you must notify NeuroPawn’s customer service team within five (5) calendar days of the package arrival date.
When reporting, you must provide:
- Your order number.
- A clear description of the defect or damage.
- Photographic or video evidence of the defect or damage (e.g., photos of the damaged packaging, the product defect, or a video demonstrating the malfunction). This evidence is crucial for our assessment and for filing claims with shipping carriers if applicable.

2.3 Replacement process
Upon receiving your request and supporting evidence, NeuroPawn will:
- Review the evidence within 3–5 business days.
- If the defect or damage is confirmed, we will provide instructions for returning the product (if required) and initiate the shipment of a replacement product.
- Replacement products will be sent free of charge to your original shipping address. You will not be charged for the replacement product itself or for the outbound shipping of the replacement.
- If the exact product is no longer available, we will offer a comparable alternative or a store credit at our discretion.
2.4 Return of defective/damaged product
NeuroPawn reserves the right to request the return of the defective or damaged product. If a return is required:
- You will be responsible for the cost of shipping the product back to us.
- The product must be returned in its original packaging, if possible, along with all accessories and documentation.
- Failure to return the product as instructed may void your eligibility for a replacement.
3. General return & refund exclusions
Due to the strict “no refunds after package is shipped” policy, we generally do not accept returns or provide refunds for reasons other than order cancellation within the specified 48-hour window or for confirmed defective/damaged products (for which only replacements are offered).
Specifically, we do not offer refunds or returns for:
- Change of mind: Once a product has shipped, buyer’s remorse or a change of preference does not qualify for a refund or return.
- Products not purchased directly from NeuroPawn: This policy only applies to products purchased directly from NeuroPawn’s official website.
- Products damaged by misuse: Products damaged due to accident, abuse, neglect, improper installation, or unauthorized modification/repair.
- Digital products/software licenses: These are non-refundable once activated or downloaded.
- Personalized or custom-made items: Unless defective or damaged upon arrival.
- Items on sale/clearance: These may be final sale and explicitly marked as non-returnable/non-refundable.
Consistent with our policy of “no refunds after package is shipped,” this also applies to international orders.

This Code of Conduct (the “Code”) applies to all NeuroPawn community spaces, whether directly operated or officially endorsed by NeuroPawn (“Community Spaces”), including but not limited to:
- Discord server: Real-time chat, voice channels, and community discussions.
- YouTube channel: Comments, live chat, and community posts on official NeuroPawn channels.
- Product reviews: Reviews posted on the NeuroPawn site and official NeuroPawn product listings on third-party platforms.
- Forums and discussion boards: Dedicated technical support forums and general discussion boards hosted by NeuroPawn.
- Official social media: Interactions on official NeuroPawn accounts across platforms (e.g., X/Twitter, LinkedIn, Facebook, Instagram).
- Events: Official NeuroPawn virtual and in-person meetups, webinars, workshops, and conferences.
- Research collaborations: Officially sanctioned community-driven research projects and data sharing initiatives facilitated by NeuroPawn.
By accessing, participating in, or contributing to any of our Community Spaces, you agree to be bound by this Code.
3.1 Respect and inclusivity

- Embrace and celebrate diversity of backgrounds, experiences, perspectives, gender identity and expression, sexual orientation, race, ethnicity, nationality, religion, age, disability, socioeconomic status, and other personal characteristics.

- Respect privacy and personal boundaries. Do not share private information about others without their explicit consent.

- Clearly acknowledge when you’re uncertain, speculating, or expressing a personal opinion rather than a factual statement.

4. Prohibited conduct
The following behaviors are strictly prohibited in all Community Spaces and constitute a violation of this Code. This list is not exhaustive.
4.1 Harassment and discrimination
- Personal attacks, insults, threats, intimidation, or sustained harassment directed at any individual or group.
- Discrimination, hate speech, or derogatory comments based on protected characteristics such as race, ethnicity, nationality, gender, gender identity and expression, sexual orientation, religion, disability, age, socioeconomic status, or any other personal attribute.
- Unwelcome sexual attention, inappropriate romantic advances, sexually suggestive comments, or inappropriate imagery.
- Doxxing, sharing, or threatening to share personal identifying information (e.g., home address, phone number, workplace, private photos) of others without their explicit, verifiable consent.
- Persistent unwanted contact or stalking behavior, online or offline.
4.2 Harmful and illicit content
- Hate speech, extremist content, glorification of violence, or incitement to hatred.
- Content that is abusive, defamatory, libelous, obscene, pornographic, vulgar, or promotes illegal activities.
- Content that could harm, exploit, or endanger minors or vulnerable individuals.
- Graphic or disturbing imagery, videos, or descriptions without appropriate warnings and clear justification for their presence.
- Malicious misinformation or disinformation about health, safety, scientific topics, or any other subject, especially if it could cause public harm or undermine trust.
- Content promoting illegal activities, regulated substances (e.g., illicit drugs), self-harm, or terrorism.
4.3 Disruptive and unethical behavior
- Spamming, excessive self-promotion (outside designated channels), or consistently off-topic posting.
- Trolling, flame wars, baiting, or deliberately provocative behavior intended to disrupt discussions or provoke negative reactions.
- Impersonation of other users, NeuroPawn staff, NeuroPawn affiliates, companies, or organizations.
- Coordinated harassment, brigading, or organizing attacks against other users or groups.
- Ban evasion (creating new accounts after being banned) or creating multiple accounts to circumvent restrictions or game systems.
- Any attempt to damage, disable, overburden, or impair NeuroPawn’s infrastructure, servers, or networks related to the Community Spaces.
- Using automated scripts, bots, or other means to interact with Community Spaces in an unauthorized manner.
In addition to the above, the following are specifically prohibited on certain platforms:
Discord server
- Disrupting voice channels (e.g., screaming, playing loud music, excessive soundboarding).
- Excessive use of
@everyone or @here mentions.
- Sharing invite links to other Discord servers without prior moderator permission.
- Using bots or automation without explicit moderator approval.
YouTube channel
- Posting repetitive, identical, or low-effort comments.
- Attempting to hijack live streams or premieres with irrelevant or disruptive content.
- Sharing unauthorized affiliate links, promotions, or scams in comments or live chat.
- Creating misleading timestamps or chapter markers that misrepresent content.
- Posting fake, misleading, or fabricated reviews.
- Reviewing products you have not genuinely used or experienced.
- Coordinated review manipulation, vote brigading, or paying for reviews.
- Using review sections for personal attacks on NeuroPawn staff, other reviewers, or unrelated grievances.
5. Data and privacy guidelines
5.1 Sharing research data
If you are involved in research collaborations or discussions where data might be shared:
- Only share data you have explicit permission and legal right to distribute.
- Rigorously remove or anonymize all personal identifying information (PII) and sensitive data before sharing.
- Respect research participant privacy and consent limitations. Ensure any shared data aligns with the original consent provided by participants.
- Follow all applicable data protection regulations (e.g., GDPR, HIPAA, PIPEDA, CCPA) relevant to your jurisdiction and the data subjects.
Given the nature of NeuroPawn’s work, it is critical to:
- Do not provide medical advice, diagnosis, treatment recommendations, or prescriptions. Only qualified healthcare professionals can do so.
- Share personal health information (PHI) or sensitive medical details only at your own discretion, understanding that NeuroPawn is not responsible for the privacy of information you choose to share publicly.
- Respect others’ privacy regarding their health conditions or medical information. Do not solicit or pressure others to share such details.
- For any medical concerns, always encourage the consultation of qualified healthcare professionals.
- Be responsible and cautious when sharing technical details about potential security vulnerabilities found in any systems. Report vulnerabilities responsibly to NeuroPawn directly via our contact form rather than public disclosure.
- Avoid sharing information that could be used maliciously to bypass security measures or harm others.
- Respect NeuroPawn’s intellectual property and trade secrets. Do not disclose confidential information you may have access to.
6. Content guidelines
6.1 Quality standards
- Ensure your posts, comments, and contributions are relevant to the community’s purpose (STEM, neurotechnology).
- Use clear, descriptive titles and organize content logically to facilitate understanding.
- Proofread for basic grammar and spelling when possible to ensure readability.
- Include sufficient context and background information for complex topics or questions.
6.2 Multimedia content
- Ensure any images, videos, or other multimedia content you share is appropriate, relevant, and consistent with this Code of Conduct.
- Provide alt text or descriptions for images and closed captions for videos to enhance accessibility for all users.
- Respect copyright and fair use principles. Do not share content you do not have the right to distribute.
- Include content warnings for potentially sensitive, graphic, or mature material, even if otherwise permitted.
6.3 Commercial content and promotion
- Clearly disclose any commercial relationships, affiliations, or conflicts of interest when discussing products, services, or companies (including your own).
- Limit self-promotion, advertising, or marketing content to designated areas or channels explicitly provided for such purposes.
- Seek explicit permission from NeuroPawn staff or moderators before sharing external links, promotions, solicitations, or calls to action that are not directly relevant to a discussion or a NeuroPawn offering.
- Focus your contributions on providing value to the community through knowledge sharing and collaboration, rather than solely marketing.
7. Reporting and enforcement
7.1 Reporting violations
If you witness or are subject to a violation of this Code, please report it immediately. Your reports are crucial for maintaining a safe environment.
- General grievances: Send all detailed grievances, including relevant context, usernames, timestamps, and evidence (screenshots, links), through our contact form.
- Discord: Use Discord’s built-in reporting system for direct messages or open a ticket to contact moderators directly. You may also use our contact form.
- YouTube: Utilize YouTube’s reporting system for comments or channels. For more serious issues, you may also use our contact form.
- Other platforms: Use the platform’s native reporting features first, then follow up through our contact form if the issue is unresolved or involves a NeuroPawn-specific interaction.
7.2 Investigation process
- All reports will be acknowledged within 48 hours and reviewed within 72 hours by our moderation team.
- Investigations will be conducted fairly, impartially, and with discretion, prioritizing the safety and well-being of the community.
- Additional information or clarification may be requested from involved parties to ensure a thorough review.
- Decisions regarding enforcement actions will be communicated to the reporting party (where appropriate and legally permissible) and the user against whom the action is taken.
7.3 Enforcement actions
Violations of this Code of Conduct may result in a range of enforcement actions, determined at NeuroPawn’s sole discretion, based on the severity, frequency, and impact of the violation. These actions may include:
- Informal warning: A private, informal notice regarding a minor policy violation.
- Formal warning: A formal written notice detailing the violation and potential consequences of further breaches.
- Content removal: Deletion of violating posts, comments, User Content, or other material.
- Temporary suspension: Limited access to or removal from Community Spaces for a specified period (e.g., 24 hours, 7 days, 30 days).
- Permanent ban: Complete and irreversible removal from all NeuroPawn Community Spaces, and potentially revocation of access to related Offerings, without prior notice.
- Reporting to authorities: In cases of serious violations, illegal activity, or threats to safety, NeuroPawn may report the incident and relevant information to law enforcement or other appropriate authorities.
- Legal action: NeuroPawn reserves the right to pursue legal action in cases of serious violations that cause harm to NeuroPawn or third parties.
7.4 Appeals process
- Users who have received a formal warning, temporary suspension, or permanent ban may appeal the decision within 14 days of notification.
- Appeals must be submitted in writing through our contact form and include the user’s name, affected platform(s), details of the enforcement action, and a clear explanation of why the action should be reconsidered or reversed, including any new evidence or context.
- Appeal decisions will be made by a senior moderation or NeuroPawn staff member who was not involved in the initial decision, if possible.
- Appeal decisions are final and binding.
8. Special considerations
8.1 Research ethics (applies to research collaborations)
For community members participating in officially sanctioned research collaborations:
- You must adhere to all relevant institutional review board (IRB) guidelines or equivalent ethical review processes for human subjects research.
- Obtain appropriate informed consent from all research participants for data collection, sharing, and publication.
- Respect participant withdrawal requests and promptly delete or anonymize their data as required.
- Maintain appropriate documentation and records of ethical approvals and participant consent.
8.2 Student and educational use
- Respect academic integrity and avoid plagiarism. Always attribute ideas and work to their original creators.
- Give clear credit to community members who assist you with coursework or academic projects.
- Follow your educational institution’s policies regarding external collaboration, use of online resources, and sharing of academic work.
- Seek permission before sharing educational projects or research that involves sensitive data or intellectual property.
8.3 Commercial and professional use
- When representing an organization or engaging in professional activities within Community Spaces, clearly identify your affiliation.

9.1 Moderator responsibilities
NeuroPawn’s moderators and community managers are dedicated to upholding this Code:

- Escalate serious violations to NeuroPawn staff for review and further action.
- Maintain confidentiality regarding all disciplinary matters and personal information shared during reports.
Experienced and engaged community members are vital to our success:

10. Updates and modifications
This Code of Conduct may be updated periodically by NeuroPawn in its sole discretion to address new challenges, clarify existing policies, or reflect changes in our Offerings.
